These Terms of Service (“Terms”) govern your access to and use of the Active Offer website, application, and coaching services (together, the “Services”) provided by Active Offer (“Active Offer,” “we,” “us,” or “our”). By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

2. Use of the app and coaching

The Services include software tools for finding roles and running outreach, along with coaching, guidance, and educational content. Coaching is provided for informational and educational purposes. You are solely responsible for the decisions you make and the actions you take based on the Services, including your job search, applications, and negotiations.

3. Acceptable use

You agree not to:

• Use the Services for any unlawful, harmful, or fraudulent purpose.
• Copy, resell, sublicense, or redistribute the Services or content without our written permission.
• Reverse engineer, scrape, or attempt to gain unauthorized access to the Services or their systems.
• Upload malicious code or interfere with the security or integrity of the Services.
• Share your account access with others or impersonate any person or entity.

4. Payments & subscriptions

Paid Services are billed through our payment processor according to the plan you select. You authorize us to charge your payment method for all fees. Fees are non-refundable except as described in our Refund Policy. We may change pricing prospectively with notice.

5. Intellectual property

The Services, including all software, content, and materials, are owned by Active Offer or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for your personal, non-commercial job search. You retain ownership of content you submit.

6. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not guarantee any specific outcome, including that you will receive interviews, offers, compensation, or employment. Nothing in the Services constitutes legal, financial, or professional advice.

7. Limitation of liability

To the maximum extent permitted by law, Active Offer and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising out of or related to your use of the Services. Our total liability for any claim will not exceed the amount you paid us in the twelve (12) months before the event giving rise to the claim.

8. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Services. Provisions that by their nature should survive termination will survive.

9. Governing law & disputes

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. Any disputes will be resolved in the state or federal courts located in Atlanta, Georgia, unless otherwise required by applicable law.

10. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
